Do you know the main points to focus on in a term sheet negotiation? How about the deal points you can afford to not worry about? What terms change to reflect market conditions and what typically remain unchanged? Why is getting a term sheet so important?

BioE2E presents a hands-on workshop focusing on term sheets, finance negotiation, and closing an early financing round. We review common terms found on most terms sheets and discuss the ways those terms can favor the investor, the entrepreneur, or lie on neutral ground. The discussion will include common pitfalls and misunderstandings regarding term sheets and early financing negotiation.

Networking session will follow.

Expected Panelists:

Albert Cha, M.D., Ph.D.
Dr. Cha is a Principal at BioAsia, a venture firm headquartered in Palo Alto.

Albert is an accomplished scientist with expertise in cell biology and medical devices. He received his B.S. and M.S. in electrical engineering from Stanford University, as well as an M.D. with honors (AOA) and Ph.D. from the University of California at Los Angeles. He has authored several articles in peer-reviewed publications such as Nature and Neuron.  

David J. Saul, J.D.

David Saul is a partner at Wilson Sonsini Goodrich & Rosati. His practice focuses on corporate and securities representation, start-up and venture capital transactions, public offerings, spin-offs and mergers and acquisitions. Mr. Saul's practice focuses on life science companies and technology companies.

Mr. Saul graduated from University of California, Berkeley, receiving a B.A. degree with distinction and high honors in 1987, and received a J.D. degree from the University of Chicago in 1991. He was admitted to practice law in California in 1991.  

Rod Young, MBA
Rod Young is President and CEO of Targesome, Inc., a biopharmaceutical company in Palo Alto, California that he helped found in 1998. Targesome is developing receptor-targeted nanoparticles for the imaging and treatment of cancer and other diseases. He was also a co-founder and Director of MCT Medical, which merged with Vivant Medical in 1999. Prior to this, he was President and CEO of General Surgical Innovations, Inc. (GSI), a surgical device company that completed a public offering in 1996 and was sold to Tyco International (U.S. Surgical) in 1999.

Mr. Young also served as President of Toshiba America MRI, Inc., and was President and Chief Operating Officer of Diasonics, a medical device company specializing in diagnostic ultrasound, MRI, and mobile x-ray. He worked at Raychem Corporation in several different positions including as Chief Financial Officer and as Vice President and General Manager of the company's Industrial Group. Mr. Young received a BS degree in Industrial Engineering from Stanford University and an MBA from Harvard Business School. He has served on the Board of several companies.
