The success of the Silicon Valley is a history of corporate failures. Only some ten percent of companies make it. Some companies end up in M&A, some "close the doors", most in various untimely ways. As BioE2E tries to prepare and teach entrepreneurs for various aspects of their entrepreneurial life, we want to explore in this timely session topics that are unpleasant but key to minimize personal damage, maximize re-use of assets in follow-up scenarios and clarify legal and accounting terminology. Martin J. Collins, Partner, Mayer Brown Rowe & Maw, Palo Alto

Marty represents private equity sponsors and their portfolio companies in their general business and financial activities. For venture capital and buyout funds, Marty provides advice on fund formation, investment and realization. Representative clients include JPMorgan Partners, Carlyle Venture Partners and The Jordan Company. For portfolio companies, including start-ups, Marty acts as a general business lawyer, including with respect to organization, financing, investment, employment, licensing, strategic alliance and M&A activities. Representative clients include Cisco Systems, Inc., Optum and AmeriKing. Marty is a member of the Corporate, Venture and Technology, Information Technology, Emerging Companies, Telecommunications, Health Care, Collateralized Debt Obligation and Securitization Practice Groups.

Nancy Pecota, former CFO & VP Finance & Administration, Signature Bioscience

Prior to joining Signature, Nancy was director of finance and accounting at ACLARA BioSciences, Inc. where she was part of the management team that led the company's IPO in March 2000. Before ACLARA, she served as corporate controller at dpiX, Inc., a spin-out from the Xerox Palo Alto Research Center, and was part of the management team that completed the acquisition of dpiX by a consortium of European and American companies. She has also held various financial management positions with Westinghouse Corporation. Nancy received her Bachelor of Science degree from San Jose State University.
